Terms of Service

The agreement for using Sendridge: your account, the rules for sending, plans and payment, and what happens if something goes wrong.

Effective

The short version

  • Only email people who agreed to hear from you, or whom the law otherwise lets you email. Spam, phishing and bought lists will get an account suspended.
  • Paid plans are prepaid for 30 days and never renew on their own. When a period ends without renewal, your account moves to the Free plan.
  • Payments are non-refundable, except where the law says otherwise or we fail to provide the Service.
  • You own your content. You are responsible for what you send and for having the right to send it.
  • We work hard to deliver every message, but mail providers decide what reaches the inbox, so delivery cannot be guaranteed.

This summary is for convenience. The full text below is what applies.

1.The agreement

These Terms are an agreement between you and Sendridge (“we”, “us”) covering sendridge.com, the Sendridge dashboard, the API at api.sendridge.com, and our SDKs (the “Service”). By creating an account or using the Service, you accept these Terms and our Privacy Policy.

If you use the Service for an organisation, you accept these Terms on its behalf and confirm you are authorised to do so; “you” then means that organisation. You must be at least 18, or the age of majority where you live, to use the Service.

2.The Service

Sendridge lets you send transactional and marketing email through an API, an SDK and a dashboard, and shows you what happened to each message. We run it on Amazon Simple Email Service. We may add, change or remove features as the product develops; if we remove something you rely on in a way that matters, we will give you reasonable notice.

3.Your account

  • Give accurate information, keep it up to date, and verify your email address.
  • Keep your password and API keys secret. API keys grant full sending access; never put them in browser or mobile app code.
  • You are responsible for everything done with your account and keys. Tell us at once at support@sendridge.com if you suspect unauthorised use.
  • One person or organisation per account unless we agree otherwise. Do not create accounts to get around limits or a suspension.

4.Sending rules and acceptable use

Email reputation is shared: one sender’s spam can hurt delivery for everyone. So you must:

  • send only to people who have asked for your email or whom the law otherwise permits you to email, and keep a record of how they agreed;
  • follow the email and privacy laws that apply to you and your recipients, such as the US CAN-SPAM Act, the EU and UK GDPR and ePrivacy rules, Canada’s CASL and the Nigeria Data Protection Act;
  • send only from domains you own or control and have verified with us, and identify yourself honestly in the “From” line;
  • honour unsubscribes. Sendridge adds an unsubscribe link and a postal address to marketing email you send through broadcasts; do not remove or hide them.

You must not use the Service to:

  • send to bought, rented, scraped or harvested lists;
  • send phishing, malware, fraud, or deceptive subject lines or sender details;
  • send illegal content, or content that harasses, threatens or exploits anyone;
  • probe, overload, reverse-engineer or get around the Service’s limits and security; or
  • resell the Service without our written permission.

We monitor bounce and complaint rates and act on abuse reports. If your sending puts recipients, other customers or our sending reputation at risk, we may throttle, pause or suspend your sending — without notice where that is needed to stop harm quickly — and we will tell you why.

5.Plans, payment and refunds

  • Free plan. Available without payment, with the limits shown on our pricing page.
  • Paid plans are prepaid. Each payment buys 30 days of a plan at the price shown at checkout, in the currency of the payment method you choose. Payments are taken by Paystack, Flutterwave or Stripe; their terms also apply to the payment itself.
  • No automatic renewal. We do not store card details and never charge you without you starting a payment. Renewing early adds 30 days to your current end date.
  • Changing plan. When you switch to another paid plan, the unused part of your current period is converted into extra time on the new plan, in proportion to the two plans’ prices.
  • When a period ends. If you do not renew, your account moves to the Free plan. Your domains, API keys and history stay; sending above the Free limits stops until you renew.
  • Price changes. We may change prices for future periods. A period you have already paid for is never repriced.
  • Taxes. Prices exclude taxes unless stated; you are responsible for any that apply.

Refunds. Payments are non-refundable, including for unused time or unused sending volume, except where the law requires otherwise or where we fail to provide the Service you paid for. In that case, contact support@sendridge.com and we will refund or credit the affected period.

Credits and trials. Account credit has no cash value, cannot be transferred, and can only be spent on Sendridge plans. Free trials we grant end automatically on the date shown and are never charged.

6.Your content and data

You keep all rights in the email, contact lists and other material you send or upload (“your content”). You give us permission to store, process and transmit your content only as needed to run the Service for you, including delivering it to your recipients.

You are responsible for your content and for having the right to send it to each recipient. When we process personal information about your recipients, we do so on your instructions, as described in our Privacy Policy.

7.The API and SDKs

You may use the API and our SDKs to build on Sendridge, within your plan’s rate limits and these Terms. The sendridge (opens in a new tab) package is open source under the MIT licence; that licence governs the SDK code itself, and these Terms govern your use of the Service it connects to.

8.Delivery and third parties

We send your email through Amazon SES and report what the receiving servers tell us. Whether a message reaches the inbox, the spam folder, or is refused is decided by the recipient’s mail provider, which we do not control. We are not responsible for third-party services we do not run, including mail providers and payment providers.

9.Suspension and termination

You can stop using the Service at any time, and ask us to close your account at support@sendridge.com.

We may suspend or close your account if you break these Terms, if your use creates a risk for recipients, other customers or the Service, if the law requires it, or if your account stays unpaid for a service that requires payment. Where it is reasonable, we will warn you first and give you a chance to fix the problem.

When an account is closed, access ends and we delete its data as our Privacy Policy describes. The sections on plans, payment and refunds; your content; disclaimers; limitation of liability; indemnity; governing law; and general terms continue to apply after the agreement ends.

10.Disclaimers

To the extent the law allows, the Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not promise that the Service will be uninterrupted or error-free, or that any message will be delivered or reach the inbox.

11.Limitation of liability

To the extent the law allows, neither you nor we are liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from these Terms or the Service.

To the extent the law allows, our total liability for all claims arising from these Terms or the Service is limited to the greater of the amount you paid us in the 12 months before the claim arose, or US$100.

Nothing in these Terms limits liability that cannot be limited by law, such as for fraud.

12.Indemnity

You will defend and compensate us against claims, losses and costs (including reasonable legal fees) brought by third parties that arise from your content, the email you send, or your breach of these Terms or of the law.

13.Governing law and disputes

These Terms are governed by the laws of the State of New York, United States, without regard to its conflict-of-law rules. Any dispute arising from these Terms or the Service will be resolved in the state or federal courts located in the State of New York, and both parties agree to their jurisdiction.

Before going to court, please write to us at support@sendridge.com; most problems are resolved faster that way. If you are a consumer, you keep any protections that the law of the place you live gives you and that cannot be waived by contract.

14.Changes to these Terms

We may update these Terms as the Service changes. We will update the effective date at the top and, for significant changes, tell account holders by email at least 14 days before they take effect. If you keep using the Service after that, the new Terms apply; if you do not agree, you can close your account.

15.General

These Terms and the Privacy Policy are the whole agreement between you and us about the Service. If part of these Terms cannot be enforced, the rest still applies. If we do not enforce a right straight away, we have not given it up. You may not transfer these Terms without our consent; we may transfer them as part of a merger or sale of the business.
